Terms of Use

1. Introduction

Welcome to Spiceup-Lite (the "Site"). Through the Site you can access a variety of resources, including our restaurant ordering software ("Software"), web pages, menus, images and documentation ("Materials"), and, where offered, support or community features ("Services"). Software, Materials, Services and related content are collectively referred to as "Content."

These Terms of Use are a legal agreement between you ("you") and Spiceup-Lite ("we," "us"). By accessing or using the Site or any Content, you agree to these Terms of Use and our Privacy Policy. We may revise these Terms of Use at any time; the revised version takes effect once posted here.

This document does not apply to the separate contract between Spiceup-Lite and Restaurant Partners (the subscription agreement governing your use of the platform as a restaurant, referred to elsewhere as the Terms & Conditions / AGB). Where the two conflict for a Restaurant Partner, that separate agreement takes precedence.

2. Who This Applies To

These Terms of Use apply to two groups of visitors:

  • Guests — individuals browsing a Restaurant Partner's ordering page, placing orders, or making reservations through Spiceup-Lite.
  • Restaurant Partners — restaurants and their staff using the dashboard to manage their own ordering website.

3. Use of the Software

Unless a separate license or subscription agreement applies to you specifically, you may use Spiceup-Lite's Software only for its intended purpose (placing orders, managing a restaurant's ordering page, or making reservations). You may not modify, reverse-engineer, or redistribute the Software.

4. Use of Materials

Menus, photographs, descriptions and other Materials made available through the Site may be viewed and used for your personal, non-commercial purpose of deciding on and placing an order. They may not be copied, redistributed, or used for any other commercial purpose without permission from Spiceup-Lite or the relevant Restaurant Partner.

5. Your Content

If you submit content to us — a review, a support message, an image, or similar — you confirm that you have the right to share it, and you grant Spiceup-Lite a non-exclusive, royalty-free license to use it solely for operating and improving the Restaurant Services (for example, displaying a review on a Restaurant Partner's page). We do not claim a perpetual, sublicensable right to repurpose your content into unrelated products.

You agree not to submit content that is false, defamatory, unlawful, infringing, obscene, or that contains malicious code.

6. Accounts and Security

Restaurant Partners registering for a dashboard account must provide accurate, current information and are responsible for keeping login credentials confidential. You agree to notify us promptly of any unauthorized use of your account.

You agree not to use automated tools (scrapers, bots) against the Site without our written permission, and not to attempt to disrupt or gain unauthorized access to our systems.

7. Reservation of Rights

The Site, our software, and our branding are the intellectual property of Spiceup-Lite. Restaurant Partners retain ownership of their own menus, photography, and branding uploaded to their ordering page.

8. Third-Party Content and Services

The Site may link to or integrate with third-party services (for example, Stripe or PayPal for payments). We are not responsible for the content, policies, or practices of these third parties; your use of them is subject to their own terms.

9. Disclaimer

THE SITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS OBTAINED FROM ITS USE WILL MEET YOUR EXPECTATIONS. NOTHING ON THE SITE SHOULD BE RELIED ON AS LEGAL, FINANCIAL, OR MEDICAL (E.G. ALLERGEN) ADVICE — ALWAYS CONFIRM ALLERGEN AND DIETARY INFORMATION DIRECTLY WITH THE RESTAURANT PARTNER BEFORE ORDERING.

10. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, Spiceup-Lite IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE. THIS DOES NOT LIMIT LIABILITY WHERE PROHIBITED BY LAW (FOR EXAMPLE, FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FOR FRAUD).

Spiceup-Lite is a technology provider. We are not a party to the contract between a Guest and a Restaurant Partner for the sale of food or a table reservation, and we are not responsible for food quality, safety, allergen labeling, or delivery performed by the Restaurant Partner.

11. Termination

We may suspend or terminate your access to the Site if we reasonably believe you have violated these Terms of Use or applicable law.

12. Governing Law

These Terms of Use are governed by the laws of Portugal, without regard to conflict of law principles. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.

13. Changes to These Terms

We may update these Terms of Use from time to time. Continued use of the Site after a change takes effect constitutes acceptance of the revised terms.
